I agree to the following CONSIGNMENT AGREEMENT

And: The Seller (You)
1. DEFINITIONS
1.1 "Ironcore" or "We" or "Us" means Ironcore Defense Group (Pty) Ltd
1.2 "Rhino Arms" means the trading name and website (rhinoarms.co.za) operated by Ironcore
1.3 "Seller" or "You" means the person consigning items
1.4 "Item" means goods submitted for consignment sale
1.5 "Consignment Period" means 90 days from listing date unless otherwise agreed
1.6 "Commission" means [10%] of final sale price retained by Ironcore
2. ELIGIBILITY & REQUIREMENTS
2.1 General Requirements
Seller must:
- Be 18+ years of age
- Provide valid South African ID or passport
- Provide accurate contact information
- Have legal right to sell submitted items
2.2 Firearms-Specific Requirements
For firearms, Seller must:
- Be the licensed owner with current, valid SAPS firearm license
- Provide certified copy of firearm license
- Complete SAPS 534 "Transfer of Firearm Ownership" form
- Confirm firearm is not stolen, illegal, or subject to any restrictions
2.3 Proof of Banking
For bank transfer payouts:
- Valid proof of banking details required
- Bank statement or confirmation letter (not older than 3 months)
- Name on bank account must match seller's ID
3. SUBMISSION & APPROVAL
3.1 No Guarantee of Acceptance
Submission does NOT guarantee we will accept your item. Ironcore has sole discretion to accept or reject any submission based on:
- Item condition
- Market demand
- Storage capacity
- Legal compliance
- Safety considerations
3.2 Response Time
We will contact you within 5 business days regarding acceptance and proposed terms.
3.3 Accuracy of Information
Items must match submitted photos and descriptions. Material discrepancies may result in:
Rejection of item
Renegotiated pricing
Return at seller's expense
3.4 Right to Refuse
We reserve the right to refuse items that:
- Are illegal, stolen, or of questionable origin
- Pose safety risks
- Don't meet our quality standards
- We cannot legally accept or sell
4. OWNERSHIP & CONSIGNMENT
4.1 Title Retention
Item remains Seller's property during consignment period. Title transfers directly from Seller to Buyer upon completed sale.
4.2 Pricing
Final listing price determined by Ironcore based on:
- Current market conditions
- Item condition
- Comparable sales
- Demand forecasts
Seller will be informed and must approve listing price before item goes live.
4.3 Price Adjustments
Ironcore may recommend price adjustments during consignment period. Seller approval required for price changes.
4.4 Consignment Period
Standard period: 90 days from listing date
May be extended by mutual written agreement.
4.5 Commission Structure
Ironcore retains [10%] commission on final sale price covering:
- Professional photography
- Website listing and hosting
- Marketing and promotion
- Payment processing
- SAPS compliance admin (firearms)
- Packing of item for shipping to buyer
- Customer service
5. SHIPPING & DELIVERY TO IRONCORE
5.1 Seller's Responsibility
Seller responsible for:
- Courier costs TO Ironcore's Bloemfontein facility
- Secure packaging
- Transit insurance
- Delivery to: 19a Pat Mullin Street, Hamilton, Bloemfontein, 9332
5.2 Firearms Transportation
Firearms MUST be:
- Transported via licensed courier
- Accompanied by proper documentation
- Packaged in accordance with courier and SAPS requirements
- Insured for transit
5.3 Buyer Shipping
Ironcore covers all costs to ship sold items to buyers.
6. INSPECTION & CONDITION VERIFICATION
6.1 Receipt Inspection
All items subject to detailed inspection upon receipt including:
- Physical condition assessment
- Functionality testing (where applicable)
- Verification against submitted description/photos
- Firearms: Serial number verification against SAPS database
6.2 Discrepancy Resolution
If received condition differs from submission, Ironcore may:
- Option 1: Reject item - returned at Seller's expense
- Option 2: Renegotiate listing price - requires Seller approval
- Option 3: Request Seller collect item within 14 days
6.3 Condition Grading
Items graded as:
- New/Demo: Unfired or minimal use, as-new condition
- Excellent: Light use, minor wear, fully functional
- Good: Moderate use, visible wear, fully functional
- Fair: Heavy use, significant wear, fully functional
- For Parts/Repair: Non-functional or damaged
6.4 Warranty
Seller warrants item is:
- In working condition (unless listed as parts/repair)
- Free from undisclosed defects
- Accurately described
7. STORAGE & LIABILITY
7.1 Secure Storage
Ironcore will store items in:
- Clean, dry, climate-appropriate conditions
- Secure facility at our Bloemfontein location
- Firearms: SABS-approved safes meeting Firearms Control Act requirements
7.2 Insurance Coverage
Items insured while in Ironcore custody for:
- Fire damage
- Theft
- Accidental damage
Coverage limited to agreed listing value.
7.3 Exclusions
Ironcore NOT liable for:
- Market value depreciation
- Normal wear from display
- Damage caused by manufacturer defects
- Items damaged prior to receipt
7.4 Claims Process
In event of loss/damage:
- Ironcore notifies Seller within 48 hours
- Insurance claim processed
- Payout: Agreed listing value less commission
8. PAYMENT TERMS
8.1 Payment Timeline
Payment processed within 7 business days after:
- Item delivered to buyer
- Buyer confirms receipt (if applicable)
- Payment cleared (for buyer)
8.2 Payout Options
- Option A: Bank Transfer
Sale amount less commission deposited to provided bank account
EFT reference includes item description
3-5 business days for bank processing
- Option B: Rhino Credits
Full amount less commission loaded as store credit
Immediate availability
No expiry date
Usable for any purchase on rhinoarms.co.za
Non-transferable
8.3 Commission Deduction
Commission calculated as: Final Sale Price × [10%]
Example: Item sells for R10,000 at [10%] commission
Ironcore commission: R1,000
Seller payout: R9,000
8.4 Tax Obligations
Seller responsible for:
- Declaring income received
- VAT registration (if applicable)
- All tax obligations
- Ironcore does not withhold tax or issue tax certificates.
9. UNSOLD ITEMS
9.1 End of Consignment Period
After 90 days (or agreed period), if unsold, Seller has 30 days to choose:
- Option 1: Collect item at own expense
- Option 2: Extend consignment period (mutual agreement required)
- Option 3: Authorize price reduction
9.2 Storage Fees
Items not collected or arrangements made within 30 days:
- Storage fee: R150 per month applies
- Charged monthly until collected or sold
9.3 Abandoned Items
Items abandoned for 6+ months with no contact:
- May be sold at Ironcore's discretion
- Proceeds (less commission and storage fees) held for Seller
- Funds held for 12 months, then forfeited to cover costs
9.4 Collection Arrangements
To collect items:
- Provide 7 days written notice
- Arrange collection during business hours
- Bring valid ID
- For firearms: Valid SAPS license required
10. FIREARMS-SPECIFIC COMPLIANCE
10.1 Legal Framework
All firearm transactions comply with:
- Firearms Control Act 60 of 2000
- Firearms Control Regulations 2004
- SAPS Central Firearms Register requirements
10.2 SAPS 534 Processing
"Transfer of Firearm Ownership" form:
- Completed by Seller and Ironcore
- Submitted to Designated Firearms Officer (DFO)
- Registered in SAPS systems
- Firearm transferred to Ironcore dealer stock
- Can take 2-4 weeks for processing
10.3 Listing Requirements
Firearms listed ONLY after:
- SAPS 534 processed and approved
- Serial number verified (not stolen/illegal)
- Entered into Ironcore dealer register (SAPS 350a)
10.4 Buyer Requirements
Firearms released ONLY to buyers who:
- Hold valid SAPS Competency Certificate
- Apply for firearm license (SAPS 271)
- Pass SAPS background checks
- Receive approved license
10.5 Sale Timeline
Firearm sales typically take 90-120 days due to buyer licensing requirements.
10.6 Serial Number Verification
All firearms verified against:
- SAPS stolen firearms database
- Central Firearms Register
- Any firearm flagged as stolen/illegal immediately reported to SAPS
10.7 Prohibited Items
We do NOT accept:
- Fully automatic firearms
- Prohibited firearms (Firearms Control Act Schedule 2)
- Deactivated firearms without proper documentation
- Ammunition (any caliber)
- Firearms without serial numbers
- Modified firearms (unless professionally documented)
11. LISTING & MARKETING
11.1 Listing Control
Ironcore has full discretion over:
- Product photography (professional studio shots)
- Item descriptions and specifications
- Listing placement on website
- Promotional activities
- Featured product selection
- Social media marketing
11.2 Photography
All items receive:
- Professional photography
- Multiple angles
- Detail shots
- Accurate color representation
11.3 Content Usage
By consigning, Seller grants Ironcore non-exclusive right to:
- Photograph items
- Create product descriptions
- Use images for marketing
- Feature in promotional materials
- Share on social media platforms
11.4 Accuracy
All listings include:
- Accurate specifications
- Honest condition grading
- Clear disclosure of any defects
- Serial numbers (firearms)
- Original accessories included
12. WITHDRAWAL & CANCELLATION
12.1 Seller Withdrawal
Seller may withdraw item BEFORE sale by:
- Providing 7 days written notice to admin@rhinoarms.co.za
- Paying admin fee of R[XXX] if item already listed
- Arranging collection or return shipping
12.2 Active Negotiations
If withdrawal requested during active buyer negotiations:
- Admin fee: R250
- Good faith requirement to honor serious offers
12.3 Ironcore Withdrawal
Ironcore may withdraw listing if:
- Item becomes illegal to sell
- Safety concerns identified
- SAPS issues notification
- Item found to be stolen
- Seller breaches terms
12.4 Return Shipping
Withdrawn items:
- Returned at Seller's expense
- Must be collected within 14 days
- Storage fees apply after 14 days
13. WARRANTIES & REPRESENTATIONS
13.1 Seller Warrants:
- Legal right and authority to sell the item
- Item is not stolen, illegal, or subject to any lien/encumbrance
- All information provided is accurate, complete, and truthful
- Firearms are properly licensed and legal to possess
- No knowledge of defects beyond those disclosed
- Not in breach of any agreement by consigning item
- Will cooperate with SAPS if required
13.2 Ironcore Warrants:
- Licensed firearms dealer in good standing
- Secure storage facilities
- Professional handling of items
- Compliance with all applicable laws
- Fair marketing efforts
13.3 Disclaimer
Items sold "as is" based on Seller's description and Ironcore's inspection. Ironcore makes no warranties beyond those explicitly stated.
14. LIMITATION OF LIABILITY
14.1 Ironcore NOT Liable For:
- Market fluctuations affecting sale price or demand
- Items that don't sell during consignment period
- Buyer payment defaults (we pursue collection, but no guarantee)
- Delays in SAPS processing (firearms)
- Changes in firearms legislation affecting saleability
- Economic conditions affecting market
- Buyer licensing denials
14.2 Maximum Liability
Total liability limited to agreed listing value of item.
14.3 Consequential Damages
No liability for consequential, indirect, special, or punitive damages.
14.4 Insurance Claims
In case of loss/damage covered by insurance, Seller's remedy limited to insurance payout.
15. TERMINATION
15.1 Immediate Termination
Ironcore may terminate immediately if:
- Seller provides false information or documentation
- Item found to be stolen or illegal
- Seller breaches material term of agreement
- Item presents safety risk
- SAPS issues directive
- Seller engages in fraudulent activity
15.2 Effect of Termination
Upon termination:
- Item removed from listing immediately
- Seller must collect within 14 days
- Outstanding fees immediately due
- For firearms: SAPS 534 may be reversed (if not yet sold)
15.3 Fees on Termination
Seller liable for:
- Any admin fees incurred
- Storage fees (if applicable)
- Return shipping costs
16. DISPUTE RESOLUTION
16.1 Good Faith Negotiations
Parties agree to attempt resolution through good faith negotiations before legal action.
16.2 Mediation
If negotiations fail, parties agree to mediation before litigation.
16.3 Jurisdiction
Disputes subject to jurisdiction of South African courts in Bloemfontein, Free State.
16.4 Governing Law
Agreement governed by laws of Republic of South Africa.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These terms constitute entire agreement between parties and supersede all prior discussions.
17.2 Amendments
Ironcore may amend terms with 30 days written notice via:
Email to Seller's registered address
Notice on rhinoarms.co.za
Continued consignment after notice constitutes acceptance.
17.3 Severability
If any provision invalid/unenforceable, remainder remains in full effect.
17.4 Waiver
Failure to enforce any right does not constitute waiver.
17.5 Assignment
Seller may not assign this agreement. Ironcore may assign to affiliated entities.
17.6 Force Majeure
Neither party liable for delays/failures due to circumstances beyond reasonable control.
17.7 Notices
Official notices sent to:
Ironcore: admin@rhinoarms.co.za or 19a Pat Mullin Street, Hamilton, Bloemfontein, 9332
Seller: Email/address provided in consignment form
17.8 Language
Agreement in English. In case of translation discrepancies, English version prevails.
17.9 Counterparts
Agreement may be executed electronically.
18. ACCEPTANCE
By submitting items for consignment, Seller:
Confirms reading and understanding these terms
Agrees to be bound by all provisions
Warrants authority to enter this agreement
Consents to electronic communications
